Terms of Use

By creating an account or using any part of Cove Estimates, you agree to these Terms and to our Privacy Policy and Acceptable Use Policy. If you do not agree, do not use the service.

You must be at least 18 years old and have the legal capacity to enter a binding contract. If you are using the service on behalf of a company or client, you represent that you are authorized to do so and that the entity you represent agrees to these Terms.

Subject to your compliance with these Terms, [LEGAL ENTITY NAME] grants you a limited, non-exclusive, non-transferable, revocable license to access and use Cove Estimates for its intended purpose: producing, editing, sharing, and managing production estimates and related documents.

You may not resell the service, white-label it, or build a competing product on top of it without a separate written agreement.

You own your content. Briefs, treatments, estimates, line items, client and crew data, uploaded files, notes, signatures — all of it stays yours.

You grant us a limited, worldwide, royalty-free license to host, store, transmit, display, and process your content solely to provide the service to you (including sending it to our AI subprocessor so we can return a parsed or drafted result). This license terminates when you delete the content or your account, except for copies retained as part of routine backups or as required by law.

We will not sell, sublicense, or use your content to train our own AI models. Our AI subprocessor (Anthropic) also does not train on API inputs or outputs under its Commercial Terms of Service. See our Privacy Policy for the full breakdown.

You are responsible for your content and represent that you either own it or have the rights necessary to upload it. See our Acceptable Use Policy for the full IP and DMCA process.

Paid plans are billed through Stripe on a recurring basis (monthly or annually, as selected). Fees are charged in advance and are non-refundable except where required by law.

You can cancel any time from the Upgrade page in your account. On cancellation, your plan remains active until the end of the current billing period, after which your account reverts to a free tier or is placed in read-only mode, depending on the plan you were on.

We may change pricing from time to time. If we do, we will notify you at least 30 days before the change takes effect for your account.

When using Cove Estimates, you agree not to:

• Upload content you do not own or have the right to share, including other people’s scripts, treatments, or client-confidential briefs.
• Upload illegal, infringing, defamatory, or malicious content.
• Attempt to gain unauthorized access to the service, other users’ accounts, or our infrastructure.
• Scrape, reverse engineer, or otherwise extract our source code, templates, or rate data except as expressly permitted.
• Use the service to build or train a competing product or dataset.
• Interfere with the service — sending excessive traffic, probing for vulnerabilities, or bypassing rate limits.
• Use the service to harass, threaten, or deceive other users or third parties.

The service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI outputs are suggestions, not professional advice. Cove Estimates drafts and analyses are provided to help you work faster; they are not financial, tax, legal, or accounting advice. You are responsible for reviewing every estimate, invoice, and projection before sending it to a client or relying on it for a business decision.

To the maximum extent permitted by law, [LEGAL ENTITY NAME] and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to your use of the service.

Our total aggregate liability for any claim arising out of or related to these Terms or the service will not exceed the greater of (a) the fees you paid us in the 12 months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).

You agree to indemnify and hold harmless [LEGAL ENTITY NAME] and its personnel against any claim, loss, or expense (including reasonable attorneys’ fees) arising from (a) your content, (b) your use of the service, (c) your breach of these Terms or any law, or (d) your violation of any third-party right, including intellectual property rights.

You may stop using the service and schedule account deletion at any time from Settings → Your data → Delete account. We hold your data for a 30-day grace period before permanently erasing it; you can sign in during that window and click Cancel deletion if you change your mind. After the 30 days elapse, deletion is final and cannot be undone. If you’d prefer we handle it manually, email hello@coveestimates.com.

We may suspend or terminate your account if you breach these Terms, if required by law, or if continuing to provide the service to you would expose us to material legal or security risk. Where reasonable, we will give you notice and an opportunity to export your data before termination.

Sections of these Terms that by their nature should survive termination (IP ownership, disclaimers, liability limits, indemnity, governing law) will survive.

These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-law principles. Any dispute arising out of these Terms will be brought in the state or federal courts located in [STATE], and you consent to exclusive jurisdiction and venue there.

Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

We may update these Terms from time to time. If a change is material we will update the effective date at the top and, where appropriate, notify you by email at least 14 days before it takes effect. Continued use of the service after the effective date means you accept the updated Terms.
